We are looking for a professional who will be a member of the Legal and Compliance team. Desirable candidates could include attorneys with 2-3 years of relevant experience, highly experienced paralegals or compliance professionals. This professional will work primarily with the three attorneys in the group whose focus is the Company’s hedge fund practice. Many aspects of the position will require interaction with members at all levels of the investment, research, fund operations, risk management, client relations and client services groups. The candidate should have some experience with private securities transactions and, ideally, with relevant provisions of the Investment Advisers Act of 1940, the Investment Company Act of 1940, Commodity Exchange Act and ERISA. Familiarity with relevant international law and regulation would be beneficial. It is not expected that the candidate will be familiar with, or be expert in, each area. Rather, it is expected that the candidate will have a mix of experiences, and gaining expertise in unfamiliar areas will be a priority so as to develop independent thinking in the position.

Responsibilities

Depending on the individual hired and allocation of responsibilities across the department, responsibilities could include any of the following:

· Coordinate the updating of offering memoranda ("OMs") for a large number of privately offered hedge funds of funds, including:

· Preparing initial drafts of new OMs for attorney review (form document will be provided, but coordinator will also need to review existing documentation for each fund to identify specific terms to be reflected in the relevant fund's new OM(s))

· Implementing document revisions as requested by attorneys following their review of each draft

· Coordinating review of OMs by external service providers to the relevant funds

· Tracking all documents related to the OM update project;

· Preparing and negotiating various fund and investment-related documents, primarily based on established forms, such as transfer agreements, subscription agreements, agreements with investors and underlying fund managers, charter documents, offering documents and confidentiality agreements;

· Performing legal research and analysis to assist attorneys in formulating legal and business policies in areas such as “sunshine laws” and relevant SEC, NASD and CFTC-related laws, no-action letters, exemptive rulings or similar advice; oversight of blue sky filings;

· Coordination of the department’s comments and contributions to third party requests for information and internally developed marketing materials;

· Analysis and compilation of client and manager confidentiality, side letter and other special purpose agreements;

· Compiling and maintaining spreadsheets of information relating to various aspects of the business of the company, and acting as a resource to the department and the firm with respect to this information;

· Reviewing investor subscription agreements and any appropriate follow-up, performing blue sky research and preparing related federal, state and non-US securities filings; and

· Working with members of the legal department and other business units, outside law firms and other service providers in the coordination of various projects.

Requirements

· Be a self-starter, taking initiative where appropriate

· Possess high intellect and strong analytical skills

· Able to absorb and apply knowledge in a short period of time. Ability to transfer lessons from one project to the next is key

· Possess sound judgment to interface with other company personnel, outside legal counsel, clients and clients’ legal counsel and advisors

· Ability to respond positively to peers who challenge. A team player who adds synergy and works well with a diverse group

· Appreciation for the value of sophisticated information technology; comfort in a highly technical environment

· Highest integrity, with an uncompromised reputation

· Extremely detail-oriented and highly organized (able to manage multiple “moving pieces” and projects simultaneously)
